Article 1 – Scope of Application

These Terms and Conditions of Sale (hereinafter “T&Cs”) govern all sales of wines, spirits, champagnes, and non-alcoholic beverages made by MILTHYS to its professional clients (HoReCa – Hotel Restaurant Café) and private customers, whether through the website www.milthys.fr, by direct order, or any other distribution channel.
Any order implies unreserved acceptance of these T&Cs, which take precedence over any other document, except in the case of an express written derogatory agreement from MILTHYS. The Customer declares that they have read and accepted these T&Cs prior to placing their order.
MILTHYS reserves the right to modify its T&Cs at any time. The applicable T&Cs are those in effect on the date of the order.

Article 3 – Products and Prices

3.1 Product Description

MILTHYS sells a selection of wines, spirits, champagnes, and non-alcoholic beverages, mainly sourced from vineyards in the South of France. The products are presented on the website. www.milthys.fr with their essential characteristics (designation, vintage, alcohol content, volume, origin).

MILTHYS strives to present the products as accurately as possible. However, photographs and descriptions are provided for informational purposes only and are not contractually binding. Information regarding vintages may vary depending on stock availability.

3.2 Product Availability

The products offered are available while stocks last. In the event that a product becomes unavailable after an order has been placed, MILTHYS will inform the Customer as soon as possible and will, depending on the case, propose:

  • A substitute product of equivalent quality and price
  • A restock with an additional lead time
  • Partial or full cancellation of the order with a refund of the amounts paid

For wines under allocation or in limited quantities, availability is subject to actual stock and cannot be guaranteed.

3.3 Prices

All prices are quoted in euros, including all taxes (TTC), with VAT applicable on the day of the order. Prices also include the contribution for packaging recycling (Eco-Emballages).

The prices displayed on the website www.milthys.fr or communicated directly do not include delivery fees, which are added to the total order amount as described in Article 5.

MILTHYS reserves the right to change its prices at any time. However, products will be billed based on the rates in effect at the time the order is recorded, subject to availability.

Professional HoReCa Pricing: Specific rates may be offered to professional clients in the HoReCa sector upon presentation of supporting documents (KBIS, SIRET). These rates will be subject to specific commercial agreements.

Article 4 – Order

4.1 Placing an Order

Online order The Customer selects the desired products and adds them to their cart. They then confirm their order after reviewing the total amount, including delivery fees, and accepting these T&Cs.

4.2 Order Confirmation

Every order is confirmed by email summarizing the products ordered, quantities, prices, and delivery terms. This confirmation constitutes MILTHYS’ final acceptance of the order and the formation of the sales contract.

4.3 Validation and Verification

"MILTHYS reserves the right to refuse or cancel any order from a Customer with whom there is a dispute regarding the payment of a previous order, or in the case of proven or suspected fraud.

4.4 Minimum Order

No minimum order amount is required for purchases on the website www.milthys.fr.

 

Article 5 – Delivery

5.1 Delivery Areas

MILTHYS primarily delivers within metropolitan France. Deliveries to Western Europe can be made upon request, subject to applicable pricing conditions.

5.2 Delivery Terms

Local Delivery (catchment area): For customers located within MILTHYS’ catchment area, delivery is carried out directly by MILTHYS within 48 to 72 business hours.

Delivery by Carrier: For other destinations, delivery is carried out by the carrier UPS using various delivery methods (standard, express) offered at the time of order. The average delivery time is 48 to 72 business hours from shipment.

Delivery times are provided for information purposes only and may vary depending on logistical constraints, destinations, and weather conditions. MILTHYS cannot be held responsible for delivery delays attributable to the carrier.

5.3 Delivery Fees

Delivery fees are calculated based on weight, volume, and destination. They are clearly indicated before the final confirmation of the order.

Free delivery: Shipping is free for any order with an amount equal to or greater than €400 including taxes.

5.4 Order Receipt

Inspection upon Receipt: The Customer is required to check the condition of the goods upon receipt in the presence of the delivery person. In the event of damaged, missing, or visibly non-compliant items, the Customer must:

  • Refuse the package or make precise and detailed remarks on the delivery note.
  • Confirm these remarks in writing to the carrier and to MILTHYS by email (laurent@milthys.fr) within 48 hours of receipt.so that an investigation can be conducted with the carrier.) dans les 48 heures suivant la réception

Any claim not made in accordance with these procedures cannot be taken into account.

5.5 Failure of Delivery

5.6 Packaging and Transport

Products are packaged in boxes certified in accordance with UPS transport standards, ensuring optimal protection during transit. MILTHYS makes every effort to ensure the integrity of the delivered products.

In the event of bottles being broken or damaged during transport by UPS, the UPS carrier insurance will cover compensation according to the carrier's general terms and conditions.

Article 6 – Payment

6.1 Payment Methods

Online Sales (Private and Professional Customers) Payment is made at the time of order using the following methods:

  • Credit Card (CB, Visa, Mastercard, American Express)
  • Any other payment method accepted by the secure payment platform Stripe

Direct Sales to CHR Professionals: HoReCa professional clients with a customer account can pay by:

  • Bank Transfer
  • Accepted Bill of Exchange

6.2 Professional Payment Terms

HoReCa professional clients with a commercial agreement benefit from a 30-day payment term from the invoice date. This term is granted subject to approval of the account and may be revised in case of late payment or incidents.

6.3 Payment Security

Online payments are secured by the Stripe platform, which ensures the confidentiality of banking data. MILTHYS does not collect or store Customers' banking information.

6.4 Late Payment

Any late payment will automatically result, without prior notice, in:

  • The immediate payment of all amounts due, regardless of the agreed payment method.
  • The application of late payment penalties at a rate of 3 times the legal interest rate in effect.
  • The payment of a fixed compensation of €40 for recovery costs, without prejudice to additional compensation if the actual costs are higher.

MILTHYS reserves the right to suspend any new orders or ongoing deliveries in the event of non-payment of a previous order.

6.5 Retention of Title Clause

The products remain the property of MILTHYS until full and effective payment of the price by the Customer. In case of non-payment, MILTHYS reserves the right to recover the unpaid products.

Article 7 – Right of Withdrawal

In accordance with the applicable legal provisions and the exceptions provided by the Consumer Code, the 14-day right of withdrawal does not apply to sales of wines, spirits, and alcoholic or non-alcoholic beverages. carried out by MILTHYS.

Indeed, these products are considered goods that may deteriorate or expire quickly and/or as sealed goods that cannot be returned for reasons of hygiene and health protection.

Therefore, no right of withdrawal can be exercised. Neither by private customers nor by professional customers.

Article 8 – Returns and Warranties

8.1 General Principle

Products sold by MILTHYS cannot be returned, except in the cases expressly provided below.

8.2 Delivery Error

In the event of an error attributable to MILTHYS (product not matching the order, error in the reference or vintage), the Customer has 48 hours from receipt to report the issue by email so that an investigation can be conducted with the carrier. so that an investigation can be conducted with the carrier..

After verification, MILTHYS will replace the product or refund it if replacement is not possible. Return costs will be borne by MILTHYS.

8.3 Defective or Damaged Products

Transport-Related Damages In the event of bottles being broken or damaged during transport by UPS, the UPS carrier insurance will cover compensation according to its general terms and conditions. The Customer must have made reservations on the delivery note and confirmed them in writing within 48 hours (see Article 5.4).

Corked Wines or Quality Defects MILTHYS does not provide any refund or exchange for wines with a tasting defect, such as a corked taste. Indeed, tasting is subjective, and post-delivery storage conditions are beyond MILTHYS’ control, so such claims cannot be accepted.

8.4 Legal Warranty of Conformity

The Customer benefits from the legal warranty of conformity provided for in Articles L.217-4 et seq. of the Consumer Code, as well as the warranty against hidden defects provided for in Articles 1641 et seq. of the Civil Code.

Legal Warranty of Conformity: The Customer may obtain repair or replacement of the product within 2 years from its delivery. The Customer may also obtain a price reduction or contract termination under the conditions provided by law.

Warranty Against Hidden Defects: The Customer may request the cancellation of the sale or a price reduction if the product has a hidden defect that makes it unfit for its intended use, within 2 years from the discovery of the defect.

Article 9 – Loyalty Program

9.1 Principle

MILTHYS offers its customers a loyalty program that allows them to earn points with each purchase and enjoy exclusive benefits.

9.2 Operation

Each euro spent allows the accumulation of points according to a scale defined by MILTHYS and communicated to the Customer. These points may give access to:

  • Discounts on future purchases
  • Exclusive previews of new vintages
  • Invitations to exclusive events (tastings, meetings with winemakers, etc.)

9.3 Terms and Conditions

MILTHYS reserves the right to modify or suspend the loyalty program at any time, with reasonable prior notice communicated to members.

Article 10 – Storage Conditions

The products offered by MILTHYS are stored in a warehouse at a constant and controlled temperature, ensuring optimal preservation of wines and spirits.

The Customer is informed that wines are living products whose development depends on storage conditions. After receipt, it is the Customer's responsibility to store the products under appropriate conditions (stable temperature between 10 and 15°C, no direct light, lying down for corked wines).

MILTHYS cannot be held responsible for the deterioration of products due to improper storage conditions after delivery.

Article 11 – Liability and Alcohol Consumption

11.1 Sale Prohibited to Minors

In accordance with applicable law, the sale of alcohol is strictly prohibited to minors under 18 years of age. By placing an order, the Customer certifies that they are of legal age to purchase and consume alcoholic beverages.

MILTHYS reserves the right to request an identity document upon delivery to verify the recipient's age and to refuse delivery of the products in case of doubt.

11.2 Responsible Consumption

Excessive alcohol consumption is dangerous for your health. Consume in moderation.

MILTHYS encourages responsible and moderate consumption of alcoholic beverages. Pregnant women are informed that alcohol consumption during pregnancy, even in small amounts, can have serious consequences for the child’s health.

11.3 Limitation of Liability

MILTHYS cannot be held responsible for the improper use of the products sold or the consequences of excessive alcohol consumption.

Article 12 – Intellectual Property

All elements of the website" www.milthys.fr (texts, images, photographs, logos, trademarks, graphics, etc.) are the exclusive property of MILTHYS or are used under authorization.

Any reproduction, representation, modification, publication, or total or partial adaptation of these elements, by any means or process, is strictly prohibited without prior written authorization from MILTHYS.

Any unauthorized use of the website or any of its elements will be considered an infringement and prosecuted in accordance with the provisions of Articles L.335-2 et seq. of the Intellectual Property Code.

Article 13 – Personal Data and Privacy

13.1 Data Collection and Processing

MILTHYS collects and processes Customers' personal data in compliance with the General Data Protection Regulation (GDPR) and the French Data Protection Act.

The data collected is necessary for order processing, customer relationship management, invoice issuance, and implementation of the loyalty program.

Data Collected: Last name, first name, delivery and billing address, email, phone number, order and purchase data.

Recipients: The data is intended exclusively for MILTHYS and is never sold or transferred to third parties, except to technical service providers involved in order processing (host, payment platform, carrier) strictly to the extent necessary for the execution of their services.

13.2 Data Retention Period

Personal data is retained for the duration necessary to manage the business relationship and for the applicable legal retention periods (notably for accounting and tax purposes).

13.3 Data Subject Rights

In accordance with the GDPR, the Customer has the right to access, rectify, erase, restrict processing, data portability, and object to the processing of their personal data.

To exercise these rights, the Customer can send their request by email to laurent@milthys.fr so that an investigation can be conducted with the carrier. while providing proof of identity.

The Customer also has the right to lodge a complaint with the CNIL (French Data Protection Authority).

13.4 Cookies

The website www.milthys.fr uses cookies to enhance the user experience, generate visit statistics, and offer personalized content. The Customer can configure their browser to refuse cookies, but some website features may then be limited.

Article 14 – Force majeure

MILTHYS cannot be held responsible for the non-performance of its obligations in the event of force majeure or events beyond its control, such as, but not limited to: natural disasters, fires, strikes, telecommunication network failures, IT outages, social conflicts, supplier or subcontractor failures, government measures, epidemics, etc.

In the event of force majeure preventing the fulfillment of the order, MILTHYS will inform the Customer as soon as possible. If the event continues for more than 30 days, the contract may be automatically terminated and the Customer refunded for any amounts paid.

Article 15 – Dispute Resolution

15.1 Applicable Law

The present Terms and Conditions are governed by French law. They are written in the French language. In the event of a translation, only the French version shall prevail.

15.2 Mediation

In accordance with the provisions of the Consumer Code concerning the amicable settlement of disputes, MILTHYS is affiliated with a consumer mediation service. In the event of a dispute, the consumer Customer may, after attempting to resolve the disagreement directly with MILTHYS, refer the matter free of charge to the competent mediator whose contact details are available upon request

European Platform: The European Commission provides an online dispute resolution platform available at the following address: https://ec.europa.eu/consumers/odr/

15.3 Competent Jurisdiction

In the event of unsuccessful mediation, or for any dispute relating to the interpretation or performance of these Terms and Conditions, the French courts shall have exclusive jurisdiction.

For professional customers, any dispute shall be subject to the exclusive jurisdiction of the Commercial Court of Nîmes, unless otherwise provided by law.

For consumer customers, the territorially competent court shall be either the Customer’s place of residence or the registered office of MILTHYS, at the Customer’s choice.

Article 16 – Acceptance of the Terms and Conditions

The Customer declares that they have read these Terms and Conditions of Sale, understood them, and accept them fully and without reservation.

Placing an order implies the Customer’s full and unconditional acceptance of these Terms and Conditions of Sale, to the exclusion of any other documents such as brochures, catalogs, or price lists, which are for information purposes only.
